MINUTES



The Holly Springs Town Board of Commissioners met in a duly-called Special Meeting at 9 a.m. Saturday, April 24, 1999 for the purpose of holding conference with the Town's attorney on the subject of real property acquisition. The meeting was held in the meeting chambers of Town Hall, located at 128 S. Main St. Mayor Gerald W. Holleman presided, calling the meeting to order at 9:22 a.m. A quorum was established as the mayor and three board members were present as the meeting opened. There is a vacancy on the Board of Commissioners at this time.



Board Members Present: Commissioners Parrish Womble, Ken Martin, Tim Sack and Mayor Holleman.



Board Members Absent: Commissioner Dickson



Staff Members Present: Jim Dolle, town manager (recording the minutes); and Ernest C. Pearson, town attorney.



Action: Commissioner Sack moved that the Board enter into Closed Session for the purpose of discussing the acquisition of real property. Commissioner Martin seconded the motion, which carried unanimously.



A general account of the Closed Session follows:



General Account of Closed Session April 24, 1999:

It was reported that on Thursday, April 23, Mayor Holleman signed a contract to sell land to Wake County for a middle school. Holly Springs is not in possession of all tracts of land needed for the school, but the Town does have options on all tracts. One option expires May 15, 1999 and the other option expires May 30, 1999. Contracts to purchase/sell land have not been pre-audited by the Finance Officer; therefore, the contracts are technically invalid. Appropriate funding alternatives of the property was discussed. There was discussion of problems with contingencies that are written into the contract. There also was discussion of things that could go wrong with the transaction and what the Town could do to mitigate these problems.

After discussion, action was taken to purchase the proposed middle school properties. Action also was taken to sell the properties to Wake County. Action was taken to return to open session.

Action Taken in Closed Session:

Commissioner Sack moved that the Town purchase the property to be used as a middle school. Commissioner Womble seconded the motion, which carried unanimously.

Commissioner Sack moved that the Town sell the property to be used as a middle school site. Commissioner Womble seconded the motion, which carried unanimously.



Comissioner Sack moved that the Board reenter Open Session. Commissioner Womble seconded the motion, which carried unanimously.



Adjournment - There being no further business for the morning, the Holly Springs Board of Commissioners special meeting of April 24, 1999 was adjourned at 10:17 a.m. following a motion by Commissioner Sack, a second by Commissioner Womble and a unanimous vote.
